  Although this is our first Massachusetts project and first partnership with this Sponsor/GP, JIDI has conducted extensive due diligence over the past two months, including financial review, cost evaluations, market comps, environmental history, and contractor qualifications. The Sponsor brings 55+ years of combined development and construction experience, and JIDI will conduct a formal site visit in December.
• Regulation D 506(c) Offering — Accredited Investors Only
  This raise is open exclusively to accredited investors. JIDI is offering 50 investment units at $40,000 each, with an expected ~2.5-year investment horizon from financing close through condo sell-out. Please request a copy of the PPM for more details.
• Priority Equity Position with Enhanced Protection & Profitability
  JIDI is raising $2M as Priority Equity, representing a substantial portion of the ~$5M total equity stack. Priority Equity sits behind senior debt but ahead of all remaining LPs, the GP, and the JV partner, providing stronger capital protection, Preferential Return, and full Return of Capital before other equity participants.
• Excellent Returns Structure
  Investors benefit from a 12% compounded Preferred Return and full capital recovery before JIDI receives any profit share. Once the Preferred Return, Return of Capital, and management catch-up are met, investors participate in 60% of the remaining net profits.
