Question 2

How is capital called?

After signing commitments, capital calls will be accomplished by our Fund Administrator, Standish Management.  For investments of $250,000 or less, full commitments will be funded immediately.

Can I make multiple investments into the fund?

Accepted Answer

Yes, the fund is a diversified vehicle and multiple investment positions are accepted.  Investors may use multiple sources of funding if desired.  Each investment position will begin accruing a preferred return according to the preferred return start date for that period (see below).  Separate fundings will have multiple positions within our investor portal, however assuming they are associated with the same tax ID / SSN they will create a single set of tax documents.  There is also a simplified addendum to your original subscription agreement for ease of use - contact a member of our team for more details.

When do I start accruing a preferred return?

Commitments being accruing a preferred return according to when that capital is called into the Fund.  More information can be found in "Fund III Funding Instructions.pdf" in the documents section.

Question 5

What type of properties will go into the fund?

Accepted Answer

Net leased industrial, varied types, sizes and markets.  Investments outside of this focus will be offered as single-asset private placement investments.

Question 6

Who will be the interested buyers for these properties after the hold period?  What are the exit scenarios?

REITs, 1031 buyers, High Net Worth Individuals (HNWIs), Funds, Family Offices, Public Markets Offering.

Another unique advantage of an aggregated pool of like-kind asset types is the potential to sell the fund as a portfolio to a larger institutional investor that is too large to be interested in individual properties.

Can I invest through a self-directed IRA or 401K?

Accepted Answer

Yes - many investors utilize retirement funds for MAGCP investments.  All retirement fund investors should invest through the REIT Feeder to avoid UBTI and UDFI taxes.  These types of invested funds may have additional tax benefits.  If you are interested in moving a conventional IRA or 401K to a self-directed custodian, our team is happy to assist.

How much "skin in the game" do Principals of Sponsor have in the deal?

Accepted Answer

Principals will invest $5M of equity or more alongside limited partners. Principals will also provide a mix of recourse and carve-out guarantees as needed for debt across the Fund's assets.

Question 9

What type of communication will take place with investors?

Accepted Answer

Investment updates are sent on a quarterly basis within 45 days after the close of the quarter. Distribution statements are sent quarterly accompanying updates.  Copies of investor updates and distribution statements will be emailed and saved in personal investor portals.  Reporting includes fund-level P&L, Balance Sheet and manager narrative regarding market, acquisitions, dispositions, tax events and other relevant material.
